ELIGIBILITY: The Vegas Spin-Off Opportunity (“Contest”) is operated and hosted by Indaba Media, LLC (“Operator”) on the Indaba Music Website, www.indabamusic.com (“Website”) in connection with a live disc jockey spin-off contest to be hosted and operated by R&R Partners, Inc. (“R&R”) in Las Vegas, Nevada, on a date to be determined by R&R, in its sole discretions (the “Vegas Spin-Off Contest”) . The Contest is open to individuals who are 21 years of age or older at the time of entry and who are not presently signed to any record label or publisher under any exclusive agreements and/or other contractual arrangements which prohibit or might prohibit them from participating in any element of this Contest. Employees, contractors, directors and officers of The Island Def Jam Music Group, Inc. (“Island Def Jam”), R&R, Mona, Indaba Media, LLC, and the Las Vegas Convention and Visitors Center (collectively, “Sponsors”), or any of their affiliates, distributors, or web design, advertising and promotion agencies of any of the foregoing companies involved in the administration, development, and execution of this Contest (collectively, “Contest Parties”), and the immediate family members (i.e. spouse, parent, child, sibling, grandparent, and spouse or "step" of each) of each and those living in the same households of any of the foregoing companies (i.e. persons, whether related or not, who have lived in the same residence for at least three months during the twelve-month period preceding the start date of the Contest) are not eligible to participate in this Contest. THIS CONTEST IS OPEN TO INDABA MEMBERS IN THE FOLLOWING COUNTRIES ONLY: UNITED STATES, MEXICO, UNITED KINGDOM AND CANADA, EXCEPT FOR THE PROVINCE OF QUEBEC. VOID WHERE PROHIBITED BY LAW OR OTHERWISE RESTRICTED.

TO ENTER: Select audio stems (“Audio Assets”) of the sound recording, “Listen To Your Love” (“Recording”) featuring the performance of the recording artist, Mona (“Artist”) which are available for Contest entrants (“Entrant”) to download. The Audio Assets can be modified and/or mixed with original audio files the Entrant creates for the purpose of creating new assets (the “Submission Materials”) using any platform the entrant chooses, including the Session Console, an online mixing and editing tool provided by the Operator. All Remixes (as defined below) must have elements of the Audio Assets. Entrants may submit a Remix, remove the Submission and upload a new Submission at any time between 1:00:00 PM Eastern Time (“ET”) on July 21, 2011 and 11:59:59 PM ET on August 18, 2011 (“Entry

Period”). Entrants must submit their final and complete Submission Materials of the Recording (“Remix”) by uploading the Remix to www.indabamusic.com/ opportunities/las-vegas-spin-off during the Entry Period. Limit one (1) Submission per person. The computer of the Operator is the official timekeeping device for this Contest. In order to download the Audio Assets and to upload a Remix, Entrants must register for a membership account with the Website. You may register for a membership account with the Website for free. Follow the online instructions at http:/ /www.indabamusic.com/account/signup to register.

ENTRY REQUIREMENTS: No purchase is necessary to enter the Contest. By entering a Remix in the Contest, Entrants hereby warrant and represent that the Remix conforms to the Contest Submission Requirements set forth herein. Entrants agree and acknowledge that no compensation will be paid to them for any reason whatsoever including, but not limited to, entering this Contest or creating a Remix. All Remixes must be in the following file formats: MP3, AIFF, WAV; and Remixes must meet the following requirements (“Submission Requirements”), and failure to abide by the Submission Requirements is grounds for disqualification in Operator’s sole discretion:

Remixes must not contain material which is (or promoting activities which are) harmful, threatening, abusive, disparaging, harassing, vulgar, obscene, hateful, pornographic, or libelous or which has other inappropriate content, or is otherwise objectionable as determined by Operator in its sole discretion; Remixes shall not defame, misrepresent or contain disparaging remarks about any persons, products or companies; Remixes shall not contain materials which are not created entirely by Entrant or which are owned by others (including music "samples" other than the Audio Assets provided through the Website);

Entrants shall not use the Audio Assets in any manner or for any purpose other than for entering Contest; and Remixes shall not be in violation of any law.

BY ENTERING A REMIX, ENTRANTS ACKNOWLEDGE THAT REMIXES MAY BE POSTED ON OPERATOR’S WEBSITE, IN OPERATOR’S DISCRETION. Operator reserves the right to, and may or may not, monitor/screen Remixes prior to posting them to the Website. Entrants acknowledge that Operator has no obligation to use or post any Remixes. By submitting a Remix, Entrants warrant and represent that: (a) the Remix is Entrant’s original work; (b) the Remix has not been previously

published; (c) the Remix has not previously received awards; (d) the Remix does not infringe upon the copyrights, trademarks, rights of privacy; publicity or other intellectual property or other rights of any person or entity; (e) Entrant has obtained permission from any person whose name, voice or performance is used in the Remix; and (f) exploitation, use, display or performance of the Remix via any form of media, will not infringe the rights of any third parties. Entrants shall indemnify and hold harmless, Operator, Sponsors and Contest Parties from any claims contrary to or in violation of these warranties and representations.

GRANT OF RIGHTS: By entering this Contest, Entrants assign away and transfer (as set forth below) any and all rights in the Remixes on a worldwide, perpetual, irrevocable and royalty-free basis to Artist and where assignment is not permitted grant a non-exclusive license on the same basis to Sponsors to use, for any and all purposes including, but not limited to, display, public performance, posting for streaming and/or download, making of derivative works, reproduction, distribution, and all other means of exploitation of the Remixes. Entrants agree that the Artist, or a designee of Artist, shall, from inception, own all right, title and interest in each Remix (including, but not limited to, the copyrights in the sound recording) in perpetuity, free from any claims by Entrant or any other person and all such works shall be deemed "works made for hire" for the Artist or such designee. Entrants shall have no ownership rights or interest whatsoever in the applicable Remix, and shall not commercially use or exploit the Remix in any manner whatsoever. Entrant is permitted to use the Audio Assets solely for the creation of Submission Materials and Remixes and participation in this Contest. All Submission Materials and Remixes are licensed by the Artist, under the Creative Commons Attribution- Noncommercial-No Derivative Works 3.0 license. Entrants may use the Submission Materials and Remixes for non-commercial purposes outside of the Contest without the permission of the Artist so long as, in connection with each non-commercial use, the Entrant makes appropriate attribution to the Artist. By entering this Contest, each Entrant agrees: (i) that Sponsors and Contest Parties have the right to use the Entrant’s Remixes and Entrant’s name and likeness in any and all media in and in connection with promotion, publicity, marketing and advertising for and by Contest Parties, and in connection with this Contest or other promotions by Contest Parties as Contest Parties see fit without any further notification or compensation to or of the Entrant; (ii) that Contest Parties shall have no obligation (express or implied) to use any Remixes in any manner and Entrants

shall not be entitled to any damages or other relief by reason of Sponsor or Contest Parties use or non-use of a Remixes; (iii) to be bound by these Official Rules; (iv) that Entrants may be contacted by Sponsor and Contest Parties by email regarding this Contest; (v) to indemnify and hold Sponsors and Contest Parties harmless from any and all claims, demands, causes of action and judgments (including attorney’s fees, court costs and expert’s fees) arising out of or relating to any breach by Entrant of the terms and conditions of these Official Rules, including any representations and warranties made herein. By entering this Contest, each Entrant agrees to sign and deliver to Sponsors and Contest Parties such documents as Contest Parties may reasonably require to effectuate the rights and obligations granted in these Official Rules.

SELECTION OF FINALISTS: Remixes will be posted on the Website thereby allowing visitors to vote for their favorite Remixes between 12:00:00 AM ET on August 19, 2011 and 11:59:59 PM ET on September 1, 2011 ("Voting Period"). Limit one vote per email address/ person. Any attempt by Entrant and/or his/her family/ friends to vote more than once by using multiple names or email addresses and/or any other fraudulent mechanism, as determined by Operator in its sole discretion, shall give Operator the right to either disqualify the votes or disqualify Entrant in its sole discretion. In the event of a tie, an additional judging period will take place relating to tied Entrants, such additional Voting Period to be determined by Operator.

The top ten (10) Remixes that receive the highest number of votes during the Voting Period (“Popular Vote”) will be judged by panel of judges, appointed by R&R and Operator and to include at least one independent judge in their sole discretion, to select two (2) Remixes based on the following criteria: Originality (0-25 points), Creativity (0-25 points), Concept (0-25 points), and Musicality (0-25 points) (the “Popular Vote Finalists”).

R&R and Operator and their designated appointees will, in their sole discretion, appoint a panel of judges including at least one independent judge to select five (5) Remixes from all the Remix entries based on the following criteria: Originality (0-25 points), Creativity (0-25 points), Concept (0-25 points), and Musicality (0-25 points) (the “Judges Pick Finalists”).

The Popular Vote Finalists and Judges Pick Finalists are individually referred to herein as a “Finalist”, and collectively as the “Finalists”. All Finalists will be notified by email on or about September 15, 2011.

FINALIST TRIP: The Finalists will each receive a trip for Finalist and one (1) Guest to Las Vegas, NV consisting of round trip coach class air transportation between major commercial airport nearest Finalist’s residence and Las Vegas, NV,

three days/two nights’ accommodations at a hotel designated by Sponsor (double occupancy room and tax) $500 U.S. Dollars spending money and the chance to participate in the Live Vegas Spin-Off (collectively, “Finalist Prize’) . The approximate retail value of each Finalist Prize: up to 2,800 USD/2703 CDN/1758 EUR/32,981 MXN. Approximate retail value of Finalist Prize trip will vary depending upon the air transportation costs between Finalist’s residence and Las Vegas, NV. Finalists will be required to travel on dates designated by Sponsors which is schedule to be during the month of September , 2011. In the event a Finalist cannot travel on dates designated by Sponsor, that Finalist may be disqualified and will not be eligible for the Grand Prize. In the event a Finalist is disqualified, that Finalist appointment will be awarded to the next highest scoring Entrant determined by either the Judge’s Pick or Popular Vote based on the corresponding Finalist selection of the disqualifying Finalist. In the event, for whatever reason, the Live Vegas Spin-Off is cancelled, each Finalist will receive a Trip for Finalist and one (1) Guest to Las Vegas, NV which must be taken by June 30, 2012 and Sponsor will not provide any compensation or substitution in lieu of the cancelled Live Vegas Spin-Off

The Finalists will be selected between September 2, 2011 and September 15, 2011. Finalists will be posted on the Website on or about September 15, 2011. The Judges Pick Finalists may be selected from all the Remix entries, regardless of any rank as determined by popular vote. Entrants acknowledge that the Contest Parties shall have no obligations, financial or otherwise, to the Finalists, except for those explicitly set forth in these Official Rules. Entrants give the Operator the right to transmit the Finalists’ personal identifying information to R&R or to other Contest Parties for the purposes of facilitating the award of the Contest prizes. Other prizes may be determined at the discretion of R&R and the Sponsors and their designated appointees.

LIVE VEGAS SPIN-OFF: All seven (7) Finalists will compete in a Live Vegas Spin off on dates designated by Sponsors. Each Finalist will be required to perform a truncated music set that displays his/her abilities as a live performing DJ. One (1) Grand Prize Winner will be selected by a panel of judges selected by Sponsors and Operator including one independent judge based on the following criteria: Originality (0-25 points) and musicality (0-25 points); showmanship (0-25 points); and performance (0-25 points). In the event of a tie, the tied Finalists will be judged by one additional judge who will serve as the tie-breaker and determine the Grand Prize Winner. Entrants agree that the Operator has the sole right to decide all matters and disputes arising from this Contest and that all decisions of Operator and the Sponsors are final and binding.

CODE OF CONDUCT AT THE LIVE VEGAS SPIN-OFF: Each Finalist’s conduct will be under the supervision of Sponsors whose decisions are final and binding in all aspects relating to the Live Vegas Spin-Off. A Finalist may be removed from the Live Vegas Spin-Off venue premises at the sole discretion of the Sponsor for any reason at any time, including but not limited to the advice of the Live Vegas Spin- Off staff, creating an unauthorized disturbance, interruption or unnecessarily rough physical contact, or for any unhealthy, unsafe, or inappropriate act. If a Finalist who in the opinion of the Sponsor is considered a physical or mental threat to the well- being of any Finalist, or Live Vegas Spin-Off staff, he/she may be removed from the Live Vegas Spin-Off venue premises and that Finalist will be disqualified. Finalists are not permitted to engage in any overt sexual activities or have any overt sexual contact with another person during the Live Vegas Spin-Off. Any act performed by a Finalist defined by Federal, State or Local statute or ordinance as constituting a criminal act may result in removal from the Live Vegas Spin-Off venue premises. At the sole discretion of the Sponsor, if a Finalist uses profanity, or demonstrates any lewd or sexually suggestive gestures or full or partial nudity, the Sponsors shall have the right to remove that Finalist from the Live Vegas Spin-Off venue. At the sole discretion of the Live Vegas Spin-Off Staff, if a Finalist creates the potential for death, disability, injury and/or property damage during the Live Vegas Spin-Off, the Live Vegas Spin-Off Staff shall have the right to remove that Finalist from the Live Vegas Spin-Off venue premises. Any Finalist who is removed from the Live Vegas Spin-Off venue for any reason will be disqualified.

ONE (1) GRAND PRIZE: Grand Prize consists of a trip for Grand Prize Winner and one (1) Guest to Las Vegas, NV and the opportunity to participate as a DJ at a Nightclub designated by Sponsor (“Grand Prize Trip”); one (1) Home DJ Studio (“Home Studio”) and one (1) $1,500 Puma Gift Card redeemable at any Puma retail location or at puma.com. The Grand Prize Trip consists of round trip coach class air transportation between major commercial airport nearest Grand Prize Winner’s residence and Las Vegas, NV and three days/two nights’ accommodations at a hotel designated by Sponsor (double occupancy room and tax). The Home DJ Studio consists of (1) Ableton Live 8 Production Software Package, one (1) Traktor Pro DJ Software Package, one (1) Tracktor Kontrol S4 Digital DJ Rig, one (1) Mac Book Pro Computer, one (1) Native Instruments Komplete Virtual Instruments Software Package, one (1) AKG C414 Stereo Set Microphone, one (1) Apogee Duet Analog Digital Converter, one (1) Avalon M5 microphone Pre-Amp, two (2) Genelec 8030A Studio Monitors, two (2) Monster Cable Pro Speaker Cables, two (2) Monster Cable Pro Mic Cables, and one (1) Axiom 61 USB MIDI Controller Keyboard. The $1,500 Puma Gift Card is subject to terms and conditions on the Gift Card. The approximate retail value of the Grand Prize: 14,000 USD/13,436 CDN/9,897 EUR/164,035 MXN.

GENERAL TERMS: Entrants, Finalists and Grand Prize Winner are solely responsible for the reporting and payment of any taxes on any respective prizes. No cash equivalent or substitution of any prize is offered, except at the sole discretion of the Operator. Prizes are non-transferable, and non-refundable. In the event the Grand Prize Winner or a Finalist lives within one hundred fifty (150) miles of Las Vegas, NV, Sponsors will provide the Grand Prize Winner or that Finalist with round trip ground transportation between the Grand Prize Winner’s or Finalist’s residence and Las Vegas, NV in lieu of round trip air transportation. The dollar value difference between the round trip coach air transportation and ground transportation will not be provided to the Grand Prize Winner or a Finalist. Grand Prize Winner and Finalists will be solely responsible for any and all expenses and incidental travel costs not expressly stated in the trip description stated herein, including but not limited to ground transfers between Grand Prize Winner’s or Finalist’s residence and airport of departure, ground transportation while in Las Vegas, NV, in-room charges (e.g., mini- bar, room service, telephone, movies), meals and Grand Prize Winner and Finalists will be required to provide a valid major credit card or some other acceptable form of payment, as determined in the hotel’s sole discretion upon hotel check and all in- room charges, telephone calls, meals, beverages, hotel upgrades, amenities, personal incidentals and any other expenses charged to the Grand Prize Winner’s and Finalist’s hotel room will be charged to that major valid credit card or deducted from the deposit provided. Travel is subject to terms and condition set forth in these Official Rules and those set forth by selected travel providers, availability and other material restrictions may apply. Sponsor is not responsible for any fees or additional charges resulting from a Grand Prize Winner’s or Finalist’s change(s) to itinerary or accommodations. In the event the Grand Prize Winner or a Finalist does not travel to Las Vegas, NV with a Guest, the Grand Prize Winner or the Finalist forfeits that Guest’s travel portion of the prize and will not receive any compensation in lieu of the forfeited Guest’s travel. In the event the Grand Prize Winner’s Prize or a Finalist’s Prize is less than the approximate retail value stated in herein, the Finalist will not receive any additional compensation for the dollar value difference. The Grand Prize Winner and each Finalist and his/her Guest will be solely responsible for obtaining valid government photo identification, Passport, plus any required visa or ESTA authorization if applicable prior to travel and the associated costs for these requirements. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Sponsor shall not be

liable for any loss or damage to baggage. The Grand Prize Winner and each Finalist will be responsible for obtaining his/her own travel, medical and life insurance and the associated costs. All travel is subject to any and all restrictions instituted by the Department of Defense and/or Department of Homeland Security, as required. Any Finalists will be notified by phone and/or e-mail and each Finalist may be required to complete, sign and return an Affidavit/Declaration of Eligibility and Liability/Publicity Release as a condition of being declared a Finalist. Each Finalist will also be required to send a copy of his/her passport, driver’s license, birth certificate or other official legal or government document, as proof of age and residency. If a Finalist cannot be contacted within five (5) calendar days of first notification attempt; or if the prize notification is returned as undeliverable; or if a Finalist is unable to attend the Live Vegas Spin-Off; or if a Finalist rejects his/her prize; or in the event of noncompliance by a Finalist with these Official Rules; or if the Affidavit/Declaration of Eligibility and Publicity/Liability Release is not properly executed, then that Entrant shall be disqualified as a Finalist, and shall forfeit the applicable prize(s); in addition, an alternative Entrant may be selected as determined by the Operator and the Sponsors and Contest Parties from all remaining eligible Entrants to replace the disqualified Entrant. If a prize, or any portion thereof, cannot be awarded for any reason, such prize will be forfeited. By participating in the Contest, Entrants release Operator, Sponsors and Contest Parties from any and all claims, damages or liabilities arising from or relating to such Entrant’s participation in the Contest, and agree to resolve any dispute individually, without resort to any class action. By accepting a prize in the Contest, the Finalists and each Finalist’s Guest agree that the Operator, Sponsors and Contest Parties shall not be liable for any loss or injury resulting from participation in the Contest, acceptance or use of any prize, or any travel related thereto. Each Finalist grants permission to Operator and Sponsors and those acting under its authority to use his/her name, photograph, voice and/or likeness, for advertising and/or publicity purposes, as well as the Remix in any and all media now known or hereinafter invented without territorial or time limitations and without compensation. If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Operator reserves the right, in its sole discretion, to cancel, modify or terminate the Contest. This Contest is governed by the laws of the state of New York, U.S.A. By entering, Entrants consent to the jurisdiction and venue of the federal, state and local courts located in New York, New York, U.S.A. for the resolution of any disputes.

Sponsors reserves the right, in their sole discretion, to substitute a comparable prize of like or greater value for any prize, or to pay Finalists or Grand Prize Winner a cash equivalent (the value of which shall be determined by Sponsors in their sole discretion), for any reason.

LIMITATIONS OF LIABILITY AND RELEASE: Except in relation to personal injury or death caused by negligence on the part of Operator, Sponsor or any Contest Parties or for any loss or damage caused by any breach of these Official Rules or other default on the part of the Operator, Sponsor or any Contest Parties, no liability or responsibility is assumed by Operator, Sponsors, Artist or Contest Parties resulting from Entrants’ participation in or attempt to participate in the Contest or downloading any information in connection with participating in the Contest. No responsibility or liability is assumed by the Operator, Sponsors, Artist or Contest Parties for technical problems or technical malfunction beyond their reasonable control which may affect the operation of the Contest, including but not limited to any of the following occurrences: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent to or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Website, in whole or in part for any reason; traffic congestions on the Internet or the Website; unauthorized human or non-human intervention of the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an account used in connection with the Contest. Operator and Sponsors are not responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Website. Use of the Website is at user’s own risk. Except in relation to personal injury or death caused by negligence on the part of Operator, Sponsor or any Contest Parties or for any loss or damage caused by any breach of these Official Rules or other default on the part of the Operator, Sponsor or any Contest Parties, Operator and the Contest Parties are not responsible for any personal injury to Entrant or property damage or losses of any kind which may be sustained to Entrant’s or any other person's computer equipment resulting from participation in the Contest, use of the Website or the download of any information from the Website. Operator and Sponsors are not responsible for any attempt by an Entrant or other individual to deliberately damage or undermine the legitimate operation of this Contest, including but not limited to any fraudulent claims, which may be a violation of criminal and civil laws. Should such an attempt be made, Operator reserves the right to seek remedies and damages from any such individual, to the fullest extent permitted by law, including criminal prosecution. Operator’s and Sponsors’ failure to enforce any term of these Contest Rules shall not constitute a

waiver of that provision. Persons engaging in any of the foregoing activities may be disqualified in Operator’s sole discretion.

USE OF INFORMATION: The information that you provide in connection with the Contest may be used by Sponsor, Operator or any Contest Party for their respective internal purposes but will not be provided to third parties, except as necessary for the administration of the Contest or as required by law or legal process. ("Island Def Jam"), R&R, Mona, Indaba Media, LLC, y la Convención de Las Vegas y del Centro de Convenciones y Visitantes Las Vegas (colectivamente, "Patrocinadores"), o cualquiera de sus afiliados, distribuidores, o agencias de diseño de páginas web, de publicidad y promoción de cualquiera de las anteriores empresas involucradas en la administración, desarrollo y ejecución de este Concurso (colectivamente, "Partes del Concurso"), y los miembros de la familia inmediata (es decir, cónyuge, padre, hijo, hermano, abuelo, y su cónyuge o el "grado" próximo de cada uno) y las que viven en la misma casa de cualquiera de las empresas anteriores (es decir, personas, sean familiares o no, que han vivido en la misma residencia por lo menos tres meses durante el período de doce meses anteriores a la fecha de inicio del Concurso) no son elegibles para participar en este Concurso. ESTE CONCURSO ESTÁ ABIERTO A LOS MIEMBROS DE INDABA ÚNICAMENTE EN LOS SIGUIENTES PAÍSES: ESTADOS UNIDOS, MÉXICO, REINO UNIDO Y CANADÁ, EXCEPTO POR LA PROVINCIA DE QUEBEC. ES NULO DONDE ESTÉ PROHIBIDO POR LA LEY O RESTRINGIDO DE OTRA MANERA.

PARA PARTICIPAR: Seleccione líneas de audio ("Recursos de audio") de la grabación sonora, "Listen To Your Love" ("Grabación") con la actuación de la artista, Mona ("Artista"), que están disponibles para que los participantes del Concurso (" Participante ") lo puedan descargar. Los recursos de audio pueden ser modificados y/o mezclados con archivos de audio originales que el participante cree con el propósito de crear nuevos recursos (los "Materiales Presentados") usando cualquier plataforma que el participante elija, incluyendo la Sesión de Consola, una herramienta para mezclar y editar en línea proporcionada por el Operador. Todos los Remixes (como se define más adelante) deben tener elementos de los Recursos de audio. Los participantes pueden presentar un Remix, eliminar la presentación y cargar una nueva presentación en cualquier momento entre las 1:00:00 pm Hora del Este ("ET") del 21 de julio de 2011 y las 11:59:59 PM ET del 18 de agosto de 2011 ("Periodo de Entrada"). Los participantes deben presentar la versión final y completa de sus Materiales Presentados de la grabación ("Remix") subiendo el Remix a la página www.indabamusic.com/oportunidades/las-vegas-spin-off

durante el Período de Inscripción. Hay un límite de una (1) Presentación por persona. El equipo del operador es el dispositivo de cronometraje oficial de este Concurso. Para descargar los Recursos de audio y para subir un Remix, los participantes deberán registrarse con una cuenta de suscripción en el Sitio Web. Usted puede registrar una cuenta de suscripción en el sitio web de forma gratuita. Siga las instrucciones en línea que aparecen en la página: http:// www.indabamusic.com/account/signup para registrarse.

REQUISITOS DE ADMISIÓN: No es necesario hacer alguna compra para participar en el Concurso. Al inscribir un Remix en el Concurso, los Participantes declaran y garantizan por este medio, que el Remix se ajusta a los Requisitos de Presentación del Concurso establecidos en el presente documento. Los participantes aceptan y reconocen que no se les pagará compensación alguna por cualquier motivo, incluyendo pero no limitado a, participar en este Concurso o por la creación de un Remix. Todos los Remixes debe estar en los siguientes formatos: MP3, AIFF, WAV, y los Remixes deben cumplir con los siguientes requisitos ("Requisitos de presentación"), y la falta del cumplimiento de los Requisitos de presentación es motivo para la descalificación a entera discreción del operador:

Los Remixes no deben contener material que sea (o promover actividades que sean) dañino, amenazador, abusivo, despectivo, hostil o de acoso, vulgar, obsceno, odioso, pornográfico o difamatorio o cualquier otro contenido inapropiado, o que sea censurable según lo determinado por el operador a su entera discreción;

Los Remixes no deben difamar, tergiversar o contener comentarios despectivos sobre las personas, productos o empresas;

Los Remixes no deben contener materiales que no son creados enteramente por el Participante o que sean propiedad de terceros (incluyendo “muestras” de música distintas a los Recursos de audio proporcionados a través del sitio web).

Los participantes no podrán utilizar los Recursos de audio en cualquier forma o para cualquier otro propósito que no sea participar en el Concurso, y los Remixes no deben violar ninguna ley.

AL SUBIR UN REMIX, LOS PARTICIPANTES RECONOCEN QUE LOS REMIXES PUEDE SER PUBLICADOS EN LA PÁGINA WEB DEL OPERADOR A ENTERA DISCRECIÓN DEL OPERADOR. El Operador se reserva el derecho de, y puede o no, monitorear/examinar los Remixes antes de que se publiquen en el Sitio Web. Los Participantes reconocen que el Operador no tiene la obligación de usar o publicar cualquiera de los Remixes. Al presentar un Remix, los participantes manifiestan y garantizan que: (a) el Remix es un trabajo original del participante, (b) el Remix no se ha publicado anteriormente, (c) el Remix no ha recibido premios previamente, (d) el Remix no infringe derechos de autor, marcas registradas, derechos de privacidad, publicidad u otra propiedad intelectual u otros derechos de cualquier persona o entidad; (e) el participante ha obtenido el permiso de cualquier persona cuyo nombre, voz o actuación se haya utilizado en el Remix, y (f) la explotación, uso, exhibición

o representación del Remix a través de cualquier medio de comunicación, no infringirá los derechos de terceros. Los participantes deberán indemnizar y eximir de responsabilidad al Operador, los patrocinadores y las Partes del Concurso por cualquier reclamación en contra de o por la violación de estas garantías y representaciones.

CONCESIÓN DE DERECHOS: Al participar en este Concurso, los Participantes ceden y transfieren (como se indica más adelante) los derechos de todos y cada uno de los Remixes en todo el mundo, de forma perpetua, irrevocable y libre de regalías al artista. En donde no se permita la cesión, los Participantes conceden una licencia no exclusiva sobre la misma base de uso a los patrocinadores, para cualquier propósito, incluyendo pero no limitado a, la exhibición, ejecución pública, publicación para la transmisión y/o descarga, realización de obras derivadas, reproducción, distribución, y todos los demás medios de explotación de los Remixes. Los participantes aceptan que el artista o la persona designada por el artista, serán, desde el principio, los que posean todos los derechos, títulos e intereses en cada Remix (incluyendo pero no limitado a, los derechos de autor en la grabación de sonido) a perpetuidad, libre de cualquier reclamación por parte del participante o de cualquier otra persona y todas las obras se considerarán "obras realizadas por contrato" para el artista o la persona designada. Los participantes no tendrán derecho a la propiedad o interés alguno aplicable al Remix, y no podrán usar o explotar comercialmente el Remix de ninguna manera. Al participante se le permite utilizar los Recursos de audio exclusivamente para la creación de Materiales de presentación y Remixes y la participación en este Concurso. Todos los Materiales de presentación y Remixes están autorizados por el artista, conforme a la licencia “Creative Commons Attribution-Noncommercial-No derivative Works 3.0”. Los participantes pueden utilizar los Materiales de presentación y Remixes para fines no comerciales fuera del Concurso sin el permiso del artista, siempre y cuando, en relación con cada uso no comercial, el participante realice la apropiada atribución al artista. Al participar en este Concurso, cada participante acepta: (i) que los Patrocinadores y las Partes del concurso tienen el derecho de uso de los Remixes del participante y del nombre del participante e imagen en cualquier medio de comunicación y en relación con la promoción, publicidad, mercadotecnia y publicidad para y por las Partes del Concurso; y en relación con este Concurso y otras promociones por las Partes del concurso como las Partes del Concurso consideren oportuno sin ninguna otra notificación o compensación para el participante, (ii) que las Partes del Concurso no tendrán ninguna obligación (expresa o implícita) para usar cualquiera de los Remixes en alguna manera y los participantes no tendrán derecho a ninguna indemnización u otra reparación por razón del uso o no uso de los Remixes por parte del Patrocinador o de las Partes del Concurso, (iii) que está obligado a cumplir estas Reglas Oficiales, (iv) que los participantes pueden ser contactados por los Patrocinadores o por las Partes del Concurso mediante un correo electrónico en relación con este Concurso, (v) a indemnizar y eximir a los patrocinadores y las Partes del Concurso de cualquier reclamo, demanda,

causa de acción y juicios (incluyendo honorarios de abogados, costos judiciales y honorarios de expertos) que se deriven de o en relación con cualquier incumplimiento por parte del participante de los términos y condiciones de estas Reglas Oficiales, incluyendo cualquier tipo de representación o garantía en el presente documento. Al participar en este Concurso, cada participante se compromete a firmar y entregar a los patrocinadores y las Partes del Concurso los documentos que las Partes del Concurso puedan razonablemente requerir para efectuar los derechos y obligaciones otorgados en estas Reglas Oficiales.

SELECCIÓN DE FINALISTAS: Los Remixes se publicarán en el sitio web permitiendo que los visitantes puedan votar por sus Remixes favoritos entre las 12:00:00 PM ET del 19 de agosto de 2011 y las 11:59:59 PM ET del 1 de septiembre de 2011 ("Período de Votación "). Hay límite de un voto por cada dirección de correo electrónico/persona. Cualquier intento por parte del participante y/o sus familiares/amigos para votar más de una vez mediante el uso de varios nombres o direcciones de correo electrónico y/o de cualquier otro mecanismo fraudulento, determinado a entera discreción por el operador, otorgará el derecho al operador para descalificar los votos o descalificar al Participante bajo su exclusivo criterio. En el caso de un empate, se tomará un periodo adicional para evaluar a los participantes empatados, dicho periodo de votación adicional será determinado por el Operador.

Los primeros diez “top ten” (10) Remixes que reciban el mayor número de votos durante el Período de Votación ("Voto Popular") serán evaluados por un panel de jueces, designados por R&R y el operador a su entera discreción, para seleccionar dos (2) Remixes con base en los siguientes criterios: Originalidad (0-25 puntos), Creatividad (0-25 puntos), Concepto (0-25 puntos), y Musicalidad (0-25 puntos) (los "Finalistas del Voto Popular").

R&R y el operador y sus funcionarios designados, a su entera discreción, podrán nombrar un panel de jueces para seleccionar cinco (5) remixes a partir de todas los Remixes ingresados con base en los siguientes criterios: Originalidad (0-25 puntos), Creatividad (0-25 puntos), Concepto (0-25 puntos), y Musicalidad (0-25 puntos) (los “Finalistas escogidos por los jueces”).

Los finalistas del voto popular y los finalistas escogidos por los jueces serán referidos de forma individual en este documento como el "finalista", y colectivamente como los "finalistas". Todos los finalistas serán notificados por correo electrónico en o alrededor del 15 de septiembre 2011.

VIAJE DEL FINALISTA: Los finalistas recibirán cada uno un viaje para Finalista y un (1) Invitado a Las Vegas, NV que consiste en un viaje redondo por transporte aéreo en clase turista escogido entre el aeropuerto comercial más importante cercano al domicilio del Finalista, el alojamiento por tres días/ dos noches en un hotel designado por el Patrocinador (habitación doble e impuestos) $ 500 dólares americanos para gastos y la oportunidad de participar en el Spin-Off Live Vegas (colectivamente, "Premio Finalista"). El valor aproximado de cada Premio Finalista es de hasta 2,800 USD / 2,703 CDN/ 1758 EUR/ 32, 981 pesos mexicanos. El valor aproximado del viaje del

Premio Finalista variará en función de los costos del transporte aéreo entre el domicilio del Finalista y Las Vegas, NV. Los finalistas deberán viajar en las fechas designadas por los Patrocinadores. En el caso de que un finalista no pueda viajar en las fechas designadas por el Patrocinador, ese Finalista será descalificado y no será elegible para el Gran Premio. En el caso de que un finalista sea descalificado, el nombramiento de finalista se entregará al siguiente Participante con puntuación más alta determinado ya sea escogido por los jueces o por voto popular con base en la selección del finalista correspondiente al finalista de la descalificación. En el caso, por cualquier razón, de que el Spin-Off Live Vegas se cancele, cada finalista recibirá un viaje para el finalista y un (1) Invitado a Las Vegas, NV, que deberá tomarse a más tardar el 30 de junio de 2012 y el Patrocinador no proporcionará ningún tipo de compensación o sustitución en lugar del Spin-Off Las Vegas cancelado.

Los finalistas serán seleccionados entre el 2 de septiembre 2011 y el 15 de septiembre de 2011. Los finalistas serán publicados en el sitio web en o alrededor del 15 de septiembre 2011. Los Finalistas escogidos por los jueces pueden ser seleccionados de entre todos los Remixes inscritos, independientemente de cualquier rango determinado por el voto popular. Los participantes aceptan que las Partes del Concurso no asumirán ninguna obligación, financiera o de otro tipo, hacia los finalistas, a excepción de las que se establecen expresamente en estas Reglas Oficiales. Los participantes le otorgan al Operador, el derecho a transmitir la información de identificación personal de los Finalistas a R&R o a las otras Partes del Concurso con el propósito de facilitar la concesión de los premios del concurso.

Pueden determinarse otros premios a discreción de R&R y de los Patrocinadores y sus funcionarios designados.

SPIN-OFF LIVE VEGAS: Los siete (7) Finalistas competirán en el Spin-Off Live Vegas en las fechas designadas por los Patrocinadores. Cada finalista tendrá que realizar un conjunto de música truncado que muestre su/sus habilidades como un DJ en vivo. Será seleccionado un (1) Ganador del Gran Premio por un panel de jueces seleccionado por los patrocinadores y el operador con base en los siguientes criterios: Originalidad (0-25 puntos) y Musicalidad (0-25 puntos); Espectáculo (0-25 puntos) y Actuación (0-25 puntos). En caso de un empate, los Finalistas empatados serán juzgados por un juez adicional que fungirá como el encargado del desempate y determinará al ganador del Gran Premio. Los participantes aceptan que el Operador tiene el derecho exclusivo de decidir todos los asuntos y controversias que surjan de este Concurso y que todas las decisiones de los Operadores y los patrocinadores son definitivas y obligatorias.

CÓDIGO DE CONDUCTA EN EL SPIN-OFF LIVE VEGAS: La Conducta de cada finalista será supervisada por los patrocinadores, cuyas decisiones son definitivas y obligatorias en todos los aspectos relacionados con el Spin-Off Live Vegas. El finalista puede ser retirado de las instalaciones del Spin-Off Live Vegas Spin-Off en cualquier momento y por cualquier razón a entera discreción del Patrocinador, incluyendo pero no limitado a los consejos del personal del Spin-Off Live Vegas, por la creación de una perturbación no autorizada, o

por interrupción o el contacto físico rudo e innecesario, o por cualquier acto insalubre, inseguro o inadecuado. Si un finalista, que a juicio del Patrocinador, se considere una amenaza física o mental para el bienestar de cualquier otro finalista o del personal del Spin-Off Live Vegas, él/ella podrá ser retirado de las instalaciones del Spin-Off Live Vegas y el Finalista será descalificado. No se les permite a los finalistas participar en cualquier actividad sexual explícita o tener ningún contacto sexual abierto con otra persona durante el Spin- Off Live Vegas. Si un Finalista realiza cualquier acto definido por estatuto u ordenanza local, ley estatal o federal como un delito, puede ocasionar que el Finalista sea retirado de las instalaciones del Spin-Off Live Vegas. A entera discreción del Patrocinador, si un Finalista utiliza malas palabras o realiza cualquier gesto lascivo o sexualmente sugestivo o muestra desnudez total o parcial, los patrocinadores tendrán el derecho de eliminar al Finalista del Spin- Off Live Vegas. A entera discreción del personal del Spin-Off Live Vegas, si un Finalista crea la posibilidad de muerte, discapacidad, lesiones y/o daños a la propiedad durante el Spin-Off Live Vegas, el personal del Spin-Off Live Vegas tendrá el derecho de retirar a ese Finalista de las instalaciones del Spin-off Live Vegas. Cualquier Finalista que sea retirado de las instalaciones del Spin-Off Live Vegas por cualquier motivo, será descalificado.

UN (1) GRAN PREMIO: El Gran Premio consiste en un viaje para el ganador del Gran Premio y un invitado (1) a las Vegas, NV y la oportunidad de participar como DJ en un club designado por el Patrocinador (“Viaje Gran Premio); un (1) Home DJ Studio (“Home Studio”) y una (1) tarjeta de regalo Puma reembolsable en cualquier lugar de venta de Puma o en puma.com. El Gran Premio consiste en un viaje redondo por transporte aéreo en clase turista escogido entre el aeropuerto comercial más importante cercano al domicilio del ganador del Gran Premio y el alojamiento por tres días/dos noches en un hotel designado por el Patrocinador (habitación doble e impuestos). El Home DJ Studio consiste en un (1) paquete de software “Ableton Live 8 Production”, un (1) paquete de software “Traktor Pro DJ”, un (1) “Tracktor Kontrol S4 Digital DJ Rig”, una (1) computadora Mac Book Pro, un (1) paquete de software “Native Instruments Komplete Virtual Instruments”, un (1) conjunto de micrófono estéreo AKG C414, un (1) convertidor análogo digital Dúo Apogee, un (1) micrófono Pre-Amp Avalon M5, dos (2) monitores de estudio Genelec 8030A, dos (2) cables de altavoces Monster Cable Pro, dos (2) cables Mic Monster Cable Pro, y un (1) teclado controlador Axiom 61 USB MIDI. La tarjeta de reglao PUMA de $1,500 está sujeta a los término y condiciones de la tarjeta de regalo. El valor aproximado del Gran Premio es: 14,000 USD/13,436 CDN/ 9,897 EUR/164,035 pesos mexicanos.

El valor total aproximado de todos los premios es: 33,600 USD/ 32,249 CDN/ 27,750 EUR/ 393,797 pesos mexicanos.

CONDICIONES GENERALES: Los participantes, finalistas y el ganador del Gran Premio son los únicos responsables de la comunicación y el pago de los impuestos relacionados con los premios respectivos. No se ofrece ningún equivalente en efectivo o la sustitución de cualquiera de los premios, excepto a la entera discreción del operador. Los premios no son transferibles y no son reembolsables. En el caso de que el ganador del Gran Premio o un Finalista

viva dentro de los ciento cincuenta (150) millas de Las Vegas, NV, los Patrocinadores le proporcionarán al ganador del Gran Premio o a ese el Finalista el viaje redondo con transportación terrestre entre el domicilio del ganador del Gran Premio o el Finalista y Las Vegas, NV, en lugar del viaje redondo con transporte aéreo. La diferencia entre el valor en dólares del viaje redondo con transporte aéreo en clase turista y el transporte terrestre no se le proporcionará al ganador del Gran Premio o al Finalista. El ganador del Gran Premio o los finalistas serán los únicos responsables de cualquier gasto y de los gastos así como de cualquier imprevisto del viaje que no se indique expresamente en la descripción del viaje establecida en este documento, incluyendo pero no limitado a las transferencias terrestres entre el domicilio del ganador del Gran Premio y el Finalista y el aeropuerto de salida, el transporte terrestre en Las Vegas, NV, los gastos de habitación (por ejemplo, mini-bar, servicio al cuarto, teléfono, películas), las comidas y el ganador del Gran Premio o el Finalista tendrán que presentar una tarjeta de crédito válida o alguna otra forma aceptable de pago, según lo determinen las políticas del hotel al registrarse en el mismo y todos los cargos por la habitación, llamadas telefónicas, comidas, bebidas, hoteles de más categoría, servicios, gastos imprevistos personales y cualquier otro gasto con cargo a la habitación de hotel del ganador del Gran Premio o del Finalista, se cargará a la tarjeta de crédito válida o se deducirá del depósito entregado. El viaje está sujeto a los términos y condiciones establecidos en estas Reglas Oficiales y las establecidas por los proveedores del viaje, la disponibilidad y otras restricciones se pueden aplicar. El Patrocinador no es responsable por tarifas o gastos adicionales causados por que el ganador del Gran Premio o el Finalista hagan un cambio de itinerario o de alojamiento. En el caso de que el ganador del Gran Premio o el finalista no viaje a las Vegas, NV con un invitado, el ganador del Gran Premio o el finalista pierde la parte del viaje que le correspondería a su invitado y no recibirá compensación alguna por esta pérdida. En el caso de que el premio del ganador del Gran Premio o el premio del Finalista sean menores en comparación al precio aproximado establecido en este documento, el ganador del Gran Premio o el finalista no recibirán ninguna compensación adicional por la diferencia del valor en dólares. El ganador del Gran Premio o los finalistas serán los únicos responsables de obtener una identificación gubernamental válida con fotografía, el pasaporte y la visa si es necesaria, previo a la realización del viaje y de los costos asociados con estos requisitos. El Patrocinador no será responsable de cualquier tipo de cancelaciones, retrasos, desviaciones o la sustitución o cualquier acto u omisión alguna por parte de las compañías aéreas, hoteles u otras empresas de transporte o cualquier otra persona que proporcione cualquiera de estos servicios y comodidades a los pasajeros, incluyendo cualquier resultado de los mismos, tales como cambios en los servicios o el alojamiento necesarios por los mismos. El Patrocinador no será responsable por cualquier pérdida o daño del equipaje. El ganador del Gran Premio y cada Finalista será responsable de obtener su propio seguro médico y de vida y de los costos asociados. Todos los viajes están sujetos a todas y cada una de las restricciones instituidas por el Departamento de Defensa y/o el Departamento de Seguridad Nacional, según sea necesario. Cualquier finalista será notificado por teléfono y/o correo electrónico y cada finalista tendrá que completar, firmar y devolver una Declaración Jurada/ Declaración de Elegibilidad y Responsabilidad/Lanzamiento de Publicidad,

como una condición para ser declarado Finalista. Cada finalista también tendrá que enviar una copia de su pasaporte, licencia de conducir, certificado de nacimiento u otro documento legal oficial o del gobierno, como prueba de su edad y residencia. Si un finalista no puede ser contactado dentro de los cinco (5) días calendario del primer intento de notificación, o si la notificación del premio se regresa como no entregado, o si un Finalista no pueda asistir al Spin-Off Live Vegas, o si un Finalista rechaza su premio, o en caso de que un finalista no cumpla con estas Reglas Oficiales, o si la Declaración Jurada/ Declaración de Elegibilidad y Responsabilidad/Lanzamiento de Publicidad no se ejecuta correctamente, entonces el participante será descalificado como finalista, y perderá el Premio(s) correspondiente, además, un participante alternativo puede ser seleccionado según lo determinado por el operador y los patrocinadores y las Partes del concurso de entre todos los participantes elegibles restantes para sustituir al concursante descalificado. Si un premio, o cualquier porción del mismo, no puede ser entregado por cualquier motivo, dicho premio se perderá. Al participar en el Concurso, los participantes eximen al operador, los patrocinadores y las Partes del Concurso de cualquier y todo reclamo, daño o perjuicio que surja de o en relación con la participación de dicho Participante en el Concurso, y aceptan resolver cualquier disputa de forma individual, sin recurrir a ninguna acción de clase. Al aceptar un premio en el concurso, los finalistas y cada invitado del Finalista aceptan que el operador, los patrocinadores y las Partes del Concurso no son responsables por cualquier pérdida o daño resultante de la participación en el Concurso, de la aceptación o uso de cualquier premio, o de cualquier viaje relacionado al mismo. Cada Finalista concede su permiso al operador y a los patrocinadores y a los que actúan bajo su autoridad para usar su nombre, fotografía, voz y/o imagen con fines publicitarios y de promoción, así como el Remix en cualquier medio conocido actualmente o próximo a inventarse sin limitaciones territoriales ni de tiempo y sin compensación alguna. Si por alguna razón el Concurso no es capaz de funcionar como estaba previsto, incluyendo la infección por virus informáticos, errores, manipulación, intervención no autorizada, fraude, fallas técnicas o cualquier otra causa que corrompa o afecte la administración, seguridad, imparcialidad, integridad o la adecuada realización del Concurso, el Operador se reserva el derecho, a su entera discreción, de cancelar, modificar o terminar el Concurso. Este concurso se rige por las leyes del estado de Nueva York, E.U. Al inscribirse, los participantes dan su consentimiento a la jurisdicción y competencia de los tribunales federales, estatales y locales en Nueva York, Nueva York, E.U., para la resolución de cualquier disputa.

Los Patrocinadores se reservan el derecho, a su entera discreción, de sustituir un premio de valor comparable o mayor para cualquier premio, o el pago a los finalistas y al ganador del Gran Premio el equivalente en efectivo (cuyo valor será determinado por los Patrocinadores a su entera discreción), por cualquier razón.
